Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Foundry IMS platform, including its web application, APIs, connectors, and related services (collectively, the "Service"), operated by Better Interaction Inc, doing business as Foundry IMS ("Foundry", "we", "us"). By creating an account, connecting an integration, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
1. The Service
Foundry IMS is an inventory management platform for commerce brands. It helps you manage products, inventory, orders, purchasing, fulfillment, and related workflows, and to connect those workflows to third-party systems such as sales channels, fulfillment providers, and accounting software. We may add, change, or remove features over time to improve the Service.
2. Accounts & Eligibility
You must provide accurate account information and are responsible for maintaining the security of your credentials, API keys, and any activity that occurs under your account. You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Service. Notify us promptly of any unauthorized use.
3. Acceptable Use
You agree not to:
- use the Service in violation of any applicable law or third-party rights;
- attempt to gain unauthorized access to the Service, other accounts, or connected systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer or resell the Service except as expressly permitted; or
- use the Service to store or transmit malicious code or unlawful content.
4. Your Data
You retain all ownership of the business data and content you submit to the Service ("Your Data"). You grant Foundry a limited license to host, process, and transmit Your Data solely to provide and improve the Service on your behalf, including syncing it to the third-party integrations you enable. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms.
5. Third-Party Integrations
The Service lets you connect third-party platforms — such as QuickBooks Online, sales channels, and fulfillment providers — by authorizing access and, where applicable, providing credentials. Your use of those platforms is governed by their own terms and privacy policies. When you connect an integration, you authorize Foundry to exchange the relevant data with that platform to perform the functions you request (for example, creating vendor bills in your accounting system or reading payment status back). We are not responsible for the availability, accuracy, or acts of third-party platforms, and you are responsible for maintaining any accounts and permissions those platforms require.
6. Fees
Access to the Service may require a paid subscription. Applicable fees, billing frequency, and plan terms are those presented to you at sign-up or in a separate order or agreement. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which are your responsibility.
7. Intellectual Property
The Service, including its software, design, and documentation, is owned by Better Interaction Inc, doing business as Foundry IMS and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted. Feedback you provide may be used by us without obligation to you.
8. Warranties & Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Foundry disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data synced to or from third-party systems will always be complete or accurate.
9. Limitation of Liability
To the maximum extent permitted by law, Foundry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Better Interaction Inc, doing business as Foundry IMS from any claims, damages, or expenses arising out of your use of the Service, Your Data, or your violation of these Terms or applicable law.
11. Term & Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to Foundry, other customers, or third parties. Upon termination, your right to use the Service ends; you may request export of Your Data as described in our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, notifying you directly. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
